These Terms & Conditions (“Terms”) govern your use of the website https://www.novoherb.com (the “Site”) and all orders placed with Novoherb Technologies (“Novoherb”, “we”, “us”, or “our”), a bulk wholesale Chinese herbs supplier in Shanghai, China. By accessing the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site or place orders.
1. Definitions
“Customer” means any individual or entity that registers for an account or places an order on the Site.
“Products” means Chinese Herbs, Medicinal Mushrooms, Super Fruits, Oriental Teas, and any OEM services such as blending services or contract manufacturing.
“Order” means a request by the Customer to purchase Products through the Site, in accordance with these Terms.
2. Registration & Account Security
2.1 Account Creation: Customers may register for an account by providing accurate contact information, including company name, email, telephone (+86-21-58080758), and WhatsApp (+86-13916847183).
2.2 Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.
3. Quotations & Orders
3.1 Quotations: All price quotes provided by Novoherb are valid for 30 days, unless otherwise stated. Prices are in USD or CNY as specified and exclude shipping, taxes, and duties.
3.2 Order Acceptance: Orders are accepted only upon our written confirmation. We reserve the right to refuse or cancel any Order for legal compliance, stock availability, or pricing errors.
4. Pricing & Payment
4.1 Pricing: Product prices are subject to change without notice. Confirmed orders are priced according to the quote provided at the time of acceptance.
4.2 Payment Terms: Unless otherwise agreed in writing, payment is due in full by T/T, L/C, or other accepted methods before shipment. All bank fees and currency conversion costs are the Customer’s responsibility.
4.3 Late Payment: Overdue payments incur interest at 1.5% per month, calculated daily.
5. Delivery & Risk of Loss
5.1 Shipping Terms: Delivery terms use INCOTERMS 2020 as specified in your Order (e.g., FOB Shanghai, CIF).
5.2 Risk Transfer: Risk of loss or damage passes to the Customer upon delivery to the carrier.
5.3 Delivery Estimates: Shipping dates are estimates only. We are not liable for delays due to force majeure, customs, or carrier issues.
6. Inspection & Returns
6.1 Inspection: The Customer must inspect Products upon arrival and notify us in writing within 5 days of any damage or non-conformity.
6.2 Returns & Cancellations: Returns require our prior written authorization. Custom or OEM Products (including blends under our FFET™ technology) are non-returnable unless defective. Standard restocking fees may apply.
7. Warranties & Disclaimers
7.1 Product Warranty: We warrant that Products shipped conform to the specifications agreed upon in writing. This warranty is valid for 30 days from delivery.
7.2 Disclaimer: Except as expressly set out herein, Novoherb disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the fullest extent permitted by law, in no event shall Novoherb’s total liability arising out of or relating to these Terms or any Order exceed the amount paid by the Customer for the specific Products giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.
9. Intellectual Property
All intellectual property rights in the Site, trademarks (including “Novoherb” and “FFET™”), and proprietary processes remain our exclusive property. No license is granted except as necessary to use the Site and purchase Products.
10. Force Majeure
Neither party shall be liable for delays or failures due to causes beyond its reasonable control, including natural disasters, war, epidemics, acts of government, or disruptions in transportation or utilities. Affected obligations will be suspended for the duration of the event.
11. Termination
We may suspend or terminate your account and refuse Orders if you breach these Terms, become insolvent, or if continued business poses legal or reputational risks.
12. Amendments
We reserve the right to amend these Terms at any time by posting the revised version on the Site with an updated “Last updated” date. Your continued use after posting constitutes acceptance of the changes.
13. Governing Law & Dispute Resolution
These Terms and any disputes arising under them are governed by the laws of the People’s Republic of China. Any dispute shall be submitted to the exclusive jurisdiction of the Shanghai courts.
14. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
